User Service Agreement
Thank you for using 365TRADEFAIR services.
Before you use 365TRADEFAIR services, please carefully read and fully understand the terms and conditions of the User Service Agreement (hereinafter referred to as this "Agreement") and the 365TRADEFAIR Privacy Policy (hereinafter referred to as the "Privacy Policy"), especially the liability exemption or limitation clauses and the dispute resolution and governing law clauses. You should pay special attention to the liability exemption or limitation clauses which are highlighted in bold.
By entering the information according to the prompts on the registration page and clicking "By registering or logging in, you agree to our User Service Agreement and the 365TRADEFAIR Privacy Policy", or by actually using 365TRADEFAIR services in any other manner permitted by 365TRADEFAIR, you have fully read, understood, and accepted the entire content of this Agreement and are legally bound by this Agreement.
This Agreement applies to your access to and use of the 365TRADEFAIR PC and WAP, 365TRADEFAIR PC and mobile clients, WeChat official account, and mini programs (collectively, " 365TRADEFAIR "). This Agreement is concluded by you (hereinafter referred to as "you" or "User") and 365TRADEFAIR. (hereinafter referred to as "we").
1. Application and acceptance of this Agreement
1.1 By using various tools, content, and services provided by 365TRADEFAIR (collectively, the "365TRADEFAIR Services"), including but not limited to access to 365TRADEFAIR, account registration, login, browsing, uploading and displaying exhibits,subscribing to promotional marketing emails, querying exhibitor and exhibit information, exchanging contact information, and sending inquiries, you have fully read, understood, and voluntarily accepted the entire content of this Agreement and are bound by this Agreement. If you do not accept this Agreement, you shall immediately cease the access to or use of the 365TRADEFAIR Services.
1.2 This Agreement includes the text of this Agreement and the rules, specifications, policies, instructions, notices, announcements, and statements published from time to time on the 365TRADEFAIR official website (collectively, the "365TRADEFAIR Rules"). All 365TRADEFAIR Rules are an integral part of this Agreement and have the same legal effect as this Agreement.
1.3 If, pursuant to the laws of the People's Republic of China and/or other applicable laws (including the laws of the country/region where you reside): (1) you do not have the full capacity for civil rights or the capacity for civil conduct appropriate to your conduct, and have not obtained the consent of your legal guardian to the use of the 365TRADEFAIR Services; or (2) you are prohibited or restricted from using the 365TRADEFAIR Services, you must not use the 365TRADEFAIR Services, otherwise, we have the right to cancel your account, and the resulting consequences and liabilities shall be borne by you and/or your guardian. If you use the 365TRADEFAIR Services on behalf of an enterprise, organization, or other legal entity, you represent and warrant that you have been fully authorized and have the right to use the 365TRADEFAIR Services on behalf of such enterprise, organization, or legal entity and are bound by this Agreement.
1.4 We may revise or update all or part of this Agreement as necessary at any time, and the revised or updated agreement will be notified to you by posting a 7 days' announcement on the 365TRADEFAIR official website and will take effect after the expiration of the announcement period. If you do not agree to the relevant change, you shall immediately cease using the 365TRADEFAIR Services. By continuing to use the 365TRADEFAIR Services after the change of this Agreement, you agree to accept the revised or updated agreement.
1.5 If you choose any other additional service provided by 365TRADEFAIR, you may need to sign a separate service purchase agreement with us or our affiliate or partner (collectively, the "Additional Agreement"). If there is any conflict or inconsistency between this Agreement and the Additional Agreement, the Additional Agreement shall prevail in respect of the service (or functions in the service).
2. User qualifications
2.1 Registered user
2.1.1 A 365TRADEFAIR registered user shall be a natural person, legal person must be a business entity duly incorporated and validly existing, or other organization with the full capacity for civil rights and the capacity for civil conduct appropriate to conduct of such person，and meet our or our entrusted third party's qualification criteria for registered user. If you do not have the foregoing subject qualifications, please do not use the services, otherwise we have the right to freeze or cancel your account. If you register on behalf of an enterprise, organization, or other legal entity or actually use the services in any other manner permitted by us, you represent and warrant that you have been fully authorized and have the right to register and use the 365TRADEFAIR Services on behalf of the enterprise, organization, or other legal entity and are bound by this Agreement.
2.1.2 If the business scope of an registered user includes products or services that require a business permit for the business entity or for such products or services in accordance with the law, the exhibitor user shall obtain the relevant business permit in accordance with the law.
2.1.3 If an registered user passes the review, we will provide the registered user with the services under this Agreement. If the registered user fails to pass the review, or is no longer qualified after passing the review, we have the right to suspend or terminate the services.
2.2 After you apply to register an account, we will review your registration information and may, for any reason such as risk control, security, and compliance, decline your registration application or restrict or freeze the account that fails to pass the review.
2.3 When registering, using, and managing your account, you warrant that the materials you submit or the information you provide is true, accurate, and complete. You understand and agree that the information, such as the account name, avatar, and profile, that you use for registration shall not contain any illegal or inappropriate information; and that you shall not register an account by pretending to be another person, or for another person without authorization, or in a way that may mislead other users, nor use a username that may infringe upon the rights and interests of others (including but not limited to alleged infringements upon trademarks or reputation rights), otherwise we have the right to decline your registration application or to cease providing services to you and recover your account, and you shall assume all losses arising therefrom.
2.4 Under applicable Chinese laws and regulations, we may require you to enter real personal or business identity information in order to use part or all of the 365TRADEFAIR Service functions, and you shall complete the real-name authentication in accordance with relevant laws and regulations and pay attention to updating the above relevant information in a timely manner. If we find or have reasonable suspicion that the materials you submit or the information you provide are untrue, inaccurate, incomplete, or illegal, we have the right to decline your registration application or to cease providing related services to you. You may not be able to use the 365TRADEFAIR Services or some functions may be restricted during your use.
2.5 You understand and agree that the ownership of your user account registered on 365TRADEFAIR belongs to 365TRADEFAIR and you only get the right to use the account after completing the registration. The right to use the 365TRADEFAIR account belongs to the initial registrant and shall not be transferred or provided to others in any way. Otherwise, we have the right to immediately suspend or terminate the provision of services to the registered account, until the account is canceled or deleted, and you shall bear all losses arising from the clearing, loss, etc. of all data, information, etc. generated in your use of the services.
2.6 You are responsible for maintaining the security and confidentiality of your account and password, and assume full legal liability for your activities under your registered account. You shall attach great importance to the confidentiality of your account and password, and shall not disclose your account and password to others under any circumstances. If you find any unauthorized use of your account or any other security vulnerability, you shall immediately notify us and change your password. If we have a reason to suspect that a third party knows your password or your account may be abused, we have the right to freeze your account or take other necessary measures for security purposes until the situation is clarified. You acknowledge and agree that we are not liable for any loss or damage arising out of or related to any activity of any unauthorized person or any leakage of user account information for reasons not attributable to us.
2.7 You understand and agree that the 365TRADEFAIR Services we provide are based on existing technologies and conditions. We will do our best to provide you with services to ensure the consistency and security of the services. You understand that we cannot foresee or prevent legal, technical, and other risks at any time or at all times, including but not limited to service interruption, unavailability of services, and other losses and risks that may be caused by force majeure, network issues, third-party service defects, third-party websites, etc.
2.8 You understand and agree that, for the sake of the overall service operation or the security of the platform operation, we have the right to decide the settings of services or functions and their scope and to modify, interrupt, suspend, or terminate all or part of the 365TRADEFAIR functions or services according to the specific situation.
3. Protection of user information
3.1 We will collect, use, save, share, transfer, publicly disclose, and protect your personal information, including but not limited to your name, contact information, business operation and customer information, in strict accordance with our Privacy Policy.
3.2 You understand and agree that 365TRADEFAIR collects the information other than your personal information in the process of providing services to you, including but not limited to enterprise information, industry, operating conditions, and customer information; that we may indirectly obtain the aforementioned data from third parties; that we will conduct statistical analysis on the information collected directly or indirectly to optimize the display and live broadcast effects of exhibits, realize intelligent push, conduct follow-up studies, or use it within a commercially reasonable scope; and that we will, in accordance with applicable laws and regulations, legal procedures, and mandatory requirements of relevant governmental authorities and based on the need to provide services to you, publicly disclose or share with a third party such information.
4. Third-party websites and applications
4.1 365TRADEFAIR may contain redirection links to third-party websites or platforms, and we do not rule out the possibility that the content uploaded or published by other users contains links to external websites. Users shall carefully read the terms of use and privacy policy of these external websites. We assume no responsibility for the authenticity, legality, or security (including data leakage) of external websites.
4.2 When you use applications, software, or services provided by third parties when accessing 365TRADEFAIR or using the 365TRADEFAIR Services, in addition to complying with the 365TRADEFAIR Rules, you may be required to agree to and comply with the agreements or rules of the third parties. Any dispute, loss, or damage arising from any third-party application, software, and related services shall be resolved by you and the third party, and we will not therefore assume any liability to you or any third party.
5. User code of conduct
5.1 General code of conduct
When accessing 365TRADEFAIR and/or using the 365TRADEFAIR Services, you shall not commit any of the following acts:
(1) Pretending to be another person or institution, or falsely stating or claiming the relation with another person or institution;
(2) Illegally accessing the network, interfering with the normal functions of the network, stealing network data, or conducting any other activities that endanger cyber security;
(3) Providing any special program or tool for illegally accessing the network, interfering with the normal functions and protective measures of the network, stealing network data, or conducting any other activities that endanger cyber security;
(4) Providing any third party with technical support, advertising promotion, settlement of payments, and other assistance while knowing that the third party is engaged in activities that endanger cyber security;
(5) Using any plug-in, add-on, system, or third-party tool not authorized or permitted by us to control, interfere with, destroy, modify, or exert other influences on the normal operation of the 365TRADEFAIR Services;
(6) Using unauthorized data or accessing unauthorized servers or accounts;
(7) Deleting, modifying, or adding data and application programs stored, processed, or transmitted in the computer information network without permission;
(8) Deliberately making and disseminating destructive programs such as computer viruses; or
(9) Other acts that violate laws, regulations, rules, policies, normative documents, or this Agreement or infringe upon the legitimate rights and interests of others.
5.2 Information display specifications
The information that you produce, reproduce, publish, and disseminate shall conform to the requirements of applicable laws and regulations. You agree and undertake not to produce, reproduce, publish, or disseminate any information which:
(1) opposes the basic principles determined by the Constitution of the People's Republic of China;
(2) jeopardizes the national security of the People's Republic of China, discloses the state secrets of the People's Republic of China, subverts the state power of the People's Republic of China, or destroys the unity of the People's Republic of China;
(3) damages the honor and interests of the People's Republic of China;
(4) incites ethnic hatred or discrimination of the People's Republic of China or undermines the ethnic unity of the People's Republic of China;
(5) destroys the state religious policy of the People's Republic of China or advocates cults and feudal superstitions;
(6) spreads rumors, disrupts social order, or destroys social stability;
(7) spreads obscenity, pornography, gambling, violence, murder, or terror, or instigates crimes;
(8) insults or slanders others or infringes upon the legitimate rights and interests of others;
(9) distorts, uglifies, desecrates, or denies the deeds and spirits of heroes and martyrs, or insults, slanders, or otherwise infringes upon the names, portraits, reputations, and honors of heroes and martyrs;
(10) advocates terrorism or extremism or incites terrorist activities or extremist activities;
(11) damages the credibility of the state organs of the People's Republic of China;
(12) contains content about any counterfeit and shoddy products or services, including but not limited to products that infringe upon the intellectual property rights of others, products that do not conform to relevant national or industry standards, and false services;
(13) contains content that violates applicable laws, regulations, policies, or public order and good customs, interferes with the normal operation of 365TRADEFAIR, or infringes upon the legitimate rights and interests of other users or third parties;
(14) contains any direct or indirect link to any third-party website, which contains any content that may violate this Agreement;
(15) displays or provides, in any form on 365TRADEFAIR, links to and materials of other exhibitions or specialized wholesale markets or other e-commerce websites that provide a platform for seller registration and third-party trade matching; or
(16) promotes other online or offline exhibitions and trade fairs on 365TRADEFAIR in any form.
5.3 Information usage specifications
Without our prior written permission, no User is allowed to conduct or authorize, allow, or assist others to conduct the following acts with respect to the information about 365TRADEFAIR or other products or services (including but not limited to information of organizers, exhibitors, audience users, exhibits, and exhibition halls, as well as statistical data):
(1) Reproducing, downloading, reading, compiling, or using the information about 365TRADEFAIR for commercial purposes including but not limited to publicity, and increase of reads and views;
(2) Editing, organizing, or arranging the information about the 365TRADEFAIR Services without authorization and then displaying it in channels other than 365TRADEFAIR;
(3) causing or assisting third parties to cause adverse impacts, such as direction, transfer, or hijacking of traffic or reads, on the information about the 365TRADEFAIR Services by using any form of identification methods including but not limited to special logos and special codes;
(4) Directly or indirectly stealing the information, such as videos, texts, and pictures, about the 365TRADEFAIR Services in any way (including but not limited to hotlinking, redundant theft, illegal capture, acquisition through data crawler technology, analog download, deep linking, and counterfeit registration), or deleting or changing the electronic rights management information of relevant information in any way (including but not limited to hiding or modifying domain names, platform-specific logos, and user names); and
(5) Other acts of illegally obtaining or using the information about the 365TRADEFAIR Services or infringing upon the intellectual property rights of such information.
5.4 Advertisement
5.4.1 When publishing an advertisement via 365TRADEFAIR, you shall ensure that the information of the advertisement is true and accurate, does not contain false or misleading content, and conforms to the Advertising Law of the People's Republic of China, the Anti-Unfair Competition Law, and other applicable laws and regulations.
5.4.2 An advertisement shall be prohibited from:
(1) using, or using in a disguised form, the national flag, national anthem, national emblem, military flag, military song, or military emblem of the People's Republic of China;
(2) using, or using in a disguised form, the name or image of any state organ or its staff member;
(3) using "national", "highest", "best", or similar comparative words;
(4) damaging the dignity or interest of the People's Republic of China or divulging any state secret of the People's Republic of China;
(5) disturbing social stability or damaging the public interest;
(6) endangering personal or property safety or divulging individual privacy;
(7) disturbing the public order or departing from a good social climate;
(8) containing any obscene, pornographic, gambling, superstitious, horrific, or violent content;
(9) containing any ethnically, racially, religiously, or sexually discriminatory content;
(10) impeding the protection of environment, natural resources, or cultural heritages; or
(11) falling under any other circumstances prohibited by laws or administrative regulations.
5.4.3 Advertisements on medical services, drugs, medical devices, pesticides, veterinary drugs, and health food, and other advertisements that are subject to examination pursuant to applicable laws and administrative regulations shall be examined by the advertisement examination authority before being published; and such advertisements shall not be published before being examined.
5.4.4 You understand and agree that we may send relevant exhibitors, exhibits, or advertising information to you during your access to 365TRADEFAIR and use of the 365TRADEFAIR Services.
5.4.5 You shall judge the authenticity and reliability of any advertisement, push, or promotion information on your own and be responsible for your own judgment. Excepted as expressly provided by laws and regulations, you shall be responsible for any negotiations or transactions made based on such information or any damage or loss arising therefrom and we bear no responsibility therefor.
6. Service charges
6.1 We reserve the right to charge Users for their use of 365TRADEFAIR Services upon advance notice. You may choose paid services according to your needs. The specific content is subject to the relevant sales agreement or product instruction.
7. Intellectual property rights
7.1 You understand and agree that, unless otherwise stated by us, all intellectual property rights (including but not limited to copyrights, trademarks, patents, and trade secrets) and related rights in all products, technologies, software, programs, data, and other information (including but not limited to words, images, pictures, photos, audios, videos, charts, colors, layouts, and electronic documents) that the services under this Agreement contain vest in and are owned by the 365TRADEFAIR Service provider.
7.2 You shall warrant that you shall not, and shall not allow any third party to, lease, lend, sell, spread, reproduce, modify, reprint, compile, announce, publish, reverse engineer, disassemble, decompile, or otherwise attempt to discover any source code of, the aforementioned rights, unless you have obtained written authorization of the 365TRADEFAIR Service provider.
7.3 365TRADEFAIR 's logo, and any other texts and graphics or any combinations thereof, as well as other logos and emblems on 365TRADEFAIR, the 365TRADEFAIR Services' names, etc., are the registered trademarks of the 365TRADEFAIR Service provider and its affiliates in China and other countries. Without the written authorization of the 365TRADEFAIR Service provider and its affiliates, no one may display, use, or otherwise dispose of the registered trademarks (including but not limited to copying, dissemination, display, mirroring, uploading, and downloading) or indicate that you have the right to display, use, or otherwise dispose of these trademarks.
7.4 You understand and agree that you authorize 365TRADEFAIR to use your name, trademarks, and logos in publicity and promotion, to the extent necessary to show that you are our customer or partner.
7.5 You understand and undertake that you are the original creator of or have obtained legal authorization (including sub-authorization) for the content (including but not limited to texts, pictures, videos, and audios and all components contained therein including music, sound, lines, visual design, dialogues, etc.) that you and your customers and agents upload, publish, or transmit when using the 365TRADEFAIR Services. The intellectual property rights in the content that you upload or publish via 365TRADEFAIR vest in and are owned by you or the original copyright owner thereof.
7.6 Unless otherwise expressly stated by us, you acknowledge, understand, and agree that you grant to us and our affiliates a nationwide, royalty-free, non-exclusive, irrevocable, and sublicensable (through multiple tiers) right (including but not limited to reproduction right, translation right, compilation right, right of dissemination via information network, adaptation right, right to produce derivative works, right of performance, and right of display) to use the content that you upload or transmit via 365 TRADEFAIR (including but not limited to texts, images, audios, videos, and live content and all components contained therein including music, sound, lines, visual design, dialogues, etc.) on occasions including but not limited to our and our affiliates' existing or other websites, application programs, or terminal devices. You hereby acknowledge and agree that we have the right to use or otherwise develop, or authorize a third party to use or otherwise develop, such content in whole or in part in any publicity, promotion, advertisement, marketing and/or research related to such content, 365TRADEFAIR, and the 365TRADEFAIR Services. For the avoidance of doubt, you understand and agree that the right granted above includes the rights and licenses to use, reproduce, and display the personal images, portraits, personal names, trademarks, service marks, brands, names, signs and company logos, as well as any other brands and marketing or promotion materials which are incorporated in the content that you own or are authorized to use.
8. Privacy policy
8.1 Your account registered on 365TRADEFAIR is provided with password protection measures to ensure the security of your basic information. Please keep your account and password properly.
8.2 We strive to employ physical, electronic, and administrative security measures to protect your information and communication content stored on 365TRADEFAIR against leakage, damage, or loss, including but not limited to SSL, encrypted information storage, and data center access control. We have adopted strict management of employees or outsourced personnel who may access your information, including but not limited to adopting different permission controls for different positions, signing non-disclosure agreements with them, and monitoring their operations. We will provide corresponding security measures to protect your information and provide reasonable security guarantee based on existing technology, and we will do our utmost to prevent your information from being leaked, damaged, or lost at any time, but please note that there are no absolutely perfect security measures for the information network, and please keep the relevant information properly.
8.3 You should keep the terminal, account and password, and relevant information and content properly. You are responsible for the loss or theft of data caused by your own reasons, as well as the deletion or storage failure of relevant data in the software and services.

9. Handling of User's breach of this Agreement
9.1 If you breach this Agreement, we may in our sole discretion take measures such as giving early warning, ceasing the services, deleting relevant content, restricting part or all of your account functions, terminating the provision of services, and blocking your account based on the actual situation, and we assume no responsibility for the resulting consequences such as your failure to use your account and the 365TRADEFAIR Services normally. We have the right to announce the handling results within a reasonable range, and to decide, according to the actual situation, whether to resume the use of the relevant account. We will keep relevant records of alleged violations of laws and regulations and alleged illegal and criminal acts, and have the right to legally report to the competent authority, cooperate with the competent authority in the investigation, and report to the public security organ. We have the right not to restore deleted content.
9.2 You shall handle any third-party complaint, lawsuit, or claim arising from your breach of this Agreement and bear the full legal liability that may arise therefrom. If we and/or our affiliates make compensation to any third party or receive any punishment from a state organ due to your breach of this Agreement, you shall be fully liable for all losses thereby sustained by us and/or our affiliates.
10. Disclaimer
10.1 Services will be provided on an "as is" and "as available" basis. We hereby expressly disclaim all warranties, representations, and undertakings of any kind, whether express or implied, in respect of the services, including but not limited to the applicability, no error or omission, continuity, accuracy, reliability, or fitness for a particular purpose.
10.2 We make no undertakings or warranties as to the effectiveness, accuracy, correctness, reliability, quality, stability, integrity, and timeliness of the technology and information involved in the services.
10.3 We are under no circumstances liable for the unavailability or delay of services caused by any Internet connection failure, failure of computer, communication, or other systems, power failure, strike, labor dispute, rebellion, revolt, riot, epidemic, insufficient production or means of production, fire, flood, storm, explosion, force majeure, war, government action, international or domestic court order, or third-party omission.
10.4 We are not liable for any special, direct, indirect, punitive, sudden, or consequential, or other damages of any kind whatsoever (including but not limited to loss of profit or interest, business suspension, and data loss) (whether foreseeable or unforeseeable) howsoever caused, which arises out of or in connection with:
10.4.1 use or unavailability of the services;
10.4.2 expenses incurred in purchasing or obtaining any products, samples, data, or information or conducting transactions through the services, or any other acts that can replace the above acts;
10.4.3 unauthorized access to or modification of data or data transmission;
10.4.4 representations or acts made by third parties through the services; or
10.4.5 damages caused by other service-related events, including negligence.
10.5 You fully understand and agree that, in view of the particularity of the Internet system and environment, the information and personal data that you share in the services may be reproduced, reprinted, changed without authorization, or otherwise illegally used by others; and that you are hereby fully aware of the existence of such risks and acknowledge that such risks shall be independently borne by you, and we assume no responsibility therefor.
10.6 You understand and agree that in the process of using the services, there may be any threatening, slandering, offensive, or illegal content or act from others or infringement upon the rights (including intellectual property rights) of others, and anonymous or impostor information, and based on the service usage specifications, such risks shall be borne by you, and we assume no responsibility therefor.
11. Governing law and dispute resolution
11.1 The construction and application of, and the dispute resolution relating to, this Agreement shall be governed by the laws of the People's Republic of China. Any and all disputes arising out of or in connection with this Agreement shall be referred to and resolved by arbitration administered by the Shanghai International Economic and Trade Arbitration Commission under its arbitration rules in force at the time of application for arbitration. The arbitration award is final and binding upon both parties.
11.2 If any provision of this Agreement is held to be invalid or unenforceable, such provision may be severed from this Agreement, and the remaining provisions shall remain in full force and effect.
11.3 No waiver by us of any fault or breach of this Agreement by a User shall be construed as a waiver of the same or any other subsequent fault or breach.
11.4 This Agreement supersedes all prior agreements, arrangements, understandings, and communications between the parties, whether oral and written, with respect to any matter hereof.
11.5 You understand and agree that 365TRADEFAIR has the right to independently decide its business strategies and assign all the rights and obligations under this Agreement to its affiliates according to the business adjustment, and that such assignment will be notified to you in the manner specified in this Agreement and you undertake to have no objection thereto.
12. Effective notice
12.1 Any notice from us to you may be sent by telephone, SMS, email, or page announcement, or in written form, and such notice shall be deemed to have been served on you or to have become effective 3 days after it is successfully sent.
